The Wellness Scan Co. has developed a comprehensive marketing brand and suite of materials (“Marketing Assets”) to support Affiliates in promoting The Wellness Scan Co. experience and associated Vital Health products and services. These assets are designed to help Affiliates grow their businesses while preserving the quality, integrity, and consistency of The Wellness Scan Co. brand.

2. License of Use
 • The Wellness Scan Co. grants the Affiliate a non-exclusive, revocable license to use the Marketing Assets solely for the promotion of The Wellness Scan Co. and Vital Health products and services.
 • Affiliates may personalize or edit the materials to match their personal brand style and voice, provided that:
 • The Wellness Scan Co. logo, name, and branding are not removed, altered, or replaced.
 • Any edits maintain brand integrity, professionalism, and compliance with company messaging guidelines.

3. Restrictions

Affiliates may not:
 • Use The Wellness Scan Co. brand, logo, or materials to promote or sell competing or unrelated wellness products, services, or companies outside of Vital Health.
 • Modify, rebrand, or distribute the Marketing Assets in a way that may cause confusion, misrepresentation, or imply unauthorized affiliation with The Wellness Scan Co. or Vital Health.
 • Use The Wellness Scan Co. name, branding, or likeness in paid advertising or public-facing promotions without prior written approval.

4. Ownership

All materials, designs, copy, logos, and intellectual property provided under this Agreement remain the sole property of The Wellness Scan Co.
Affiliates obtain no ownership rights and may use the materials only while in good standing as a registered brand partner.

5. Brand Integrity & Revocation

The Wellness Scan Co. reserves the right to revoke access to brand materials or terminate this Agreement at any time if an Affiliate:
 • Uses the brand or materials inappropriately,
 • Promotes competing brands, or
 • Acts in a manner that damages the reputation or public image of The Wellness Scan Co. or Vital Health.

6. Limitation of Liability

The Wellness Scan Co. provides all Marketing Assets “as is.”
The Company is not responsible for any Affiliate’s business performance, compliance, or success.

7. Agreement Acknowledgment

By using The Wellness Scan Co. brand materials, the Affiliate acknowledges and agrees to all terms within this Agreement and understands that failure to comply may result in immediate termination of brand access and affiliate.
